Terms & Conditions

These terms govern your use of linkmodus.com and the Modus platform, operated by ProCodebase Technologies (Ashu Singhal), Bengaluru, Karnataka, India — GSTIN 29JSIPS3372G2Z1 ("Modus", "we", "us").

By creating an account, using the platform or paying us, you accept these terms on behalf of the business you represent ("you"). If you do not accept them, do not use Modus.

You confirm that you are of legal age, that the business you are registering is real and lawfully constituted, and that you are authorised to bind it to these terms. Modus is sold to businesses; it is not a consumer service.

Modus gives your business an AI agent that answers enquiries on your WhatsApp number and on a chat widget you embed on your own website, records those enquiries as contacts and orders, and attributes revenue back to the advertising that produced it.

What each plan includes — conversation volume, linked ad accounts, campaigns and API keys — is set out on the pricing section and on your plan page, and is enforced by the platform. We may add, change or withdraw features; if a change removes something material from a plan you have already paid for, you may cancel under section 12 and we will refund the unused part of your term.

You are responsible for the accuracy of your account details, for keeping your password and two-factor device secure, and for everything done under your account. Tell us immediately at support@procodebase.com if you believe it has been compromised.

Accounts are for one business. Reselling access, sharing a login across businesses, or using one tenant to operate another company's pipeline is not permitted.

A self-serve signup opens a 7-day free trial with no payment method required and no automatic charge at the end of it.

When the trial ends the account lapses: outbound messaging and provisioning stop, and your board stays readable so nothing you built during the trial is lost. Buying a plan reopens it. Trials are for evaluation — one per business.

Refunds and cancellations are governed by our Refund Policy, which forms part of these terms.

Everything you put into Modus, and every conversation it handles for you, remains yours. We process it to run the service for you and for no other purpose; see the Privacy Policy.

You are responsible for the lawfulness of what you send through the platform:

• Having a lawful basis and, where required, consent to message the people you message.
• Complying with the WhatsApp Business Messaging Policy, Meta’s Commerce and Advertising Policies, and Google Ads policies — a breach of those can get your number or ad account restricted by them, which is outside our control.
• The accuracy of the prices, offers and claims in the material the agent answers from.
• Honouring the orders the agent records for you.

You may not use Modus to:

• Send unsolicited bulk messages, spam, or messages to people who have opted out.
• Carry out anything unlawful, fraudulent or deceptive, including impersonating another business.
• Infringe intellectual property or upload material you have no right to use.
• Attempt to breach the platform’s security, access another tenant’s data, or probe, scan or load-test it without our written permission.
• Resell, sublicense or white-label the platform without a written agreement with us.
• Reverse engineer the service or use it to build a competing product.

We may suspend an account immediately where we reasonably believe this section has been breached, or where continuing would put our WhatsApp or advertising platform access at risk.

Modus depends on services we do not control — Meta's WhatsApp Cloud API and Marketing API, Google Ads, OpenAI and our payment gateway. Your use of them through Modus is also subject to their terms. If one of them changes its pricing, policies or interfaces, restricts your number or account, or is unavailable, Modus may be affected and we are not liable for that, though we will make reasonable efforts to work around it.

The agent generates replies from the material you give it. It is a probabilistic system and can be wrong: it may misread a question, quote something out of date, or state something you did not intend. You are responsible for what it says on your behalf — keep your knowledge base current, review conversations, and do not use Modus unsupervised for medical, legal, financial or other advice where an incorrect answer causes harm.

We aim to keep Modus available at all times but do not commit to an uptime figure unless one is agreed with you in writing. Planned maintenance is announced where practical. Support is by email at support@procodebase.com; plans that include priority support state so on the pricing page.

The platform, its software, design and documentation are ours and remain ours. You get a non-exclusive, non-transferable right to use it for your own business for as long as your account is in good standing. Our name and logo may not be used without permission, except to state factually that you use Modus.

You may stop using Modus at any time; because there is no auto-debit, not buying another term is how you cancel, and your access runs to the end of the term you paid for.

We may suspend or terminate an account for a breach of these terms, for non-payment, or where required by law or by a platform we depend on. On termination your right to use the service ends, amounts owed up to that date remain payable, and your data is handled as set out in the Privacy Policy. You can export your contacts and orders before you go.

Modus is provided on an "as is" basis. To the fullest extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement, and we do not warrant any particular commercial result — a number of leads, a conversion rate, or a cost per paying customer.

We are not liable for indirect or consequential loss, loss of profits, revenue, goodwill or data. Our total liability for all claims in any twelve-month period is limited to the amount you paid us in the three months before the event giving rise to the claim. Nothing here excludes liability that cannot lawfully be excluded.

You will indemnify ProCodebase Technologies and its people against claims, damages and reasonable legal costs arising from your breach of these terms, from the content you send through the platform, or from your infringement of another party's rights.

If any provision is held unenforceable it is severed and the rest continues in force. These terms, together with the Privacy Policy and the Refund Policy, are the entire agreement between us about the service and supersede earlier discussions, except where we have signed a separate written agreement with you, which prevails to the extent of any conflict.

Any dispute arising out of these terms — including its breach, termination or validity — will be resolved by binding arbitration seated in Bengaluru, Karnataka, conducted in English by a sole arbitrator under the Arbitration and Conciliation Act, 1996. Both parties agree to arbitrate before pursuing legal action.

These terms are governed by the laws of India. Subject to the arbitration clause above, the courts at Bengaluru, Karnataka have exclusive jurisdiction.

The current version is always the one published on this page. We allow 14 days between the published and effective dates for a material change, and email account holders when one affects what they pay or what they may do. Continuing to use Modus after the effective date means you accept the change.
